Terms of Service

These Terms of Service (“Terms”) govern the relationship between you (the Client / Business) and Afriwarehouse (“we”, “us”, “our”) regarding the warehouse, storage, and pickup services we provide. By using our services, you agree to these Terms.
- Services Provided
We provide warehousing, storage, inventory handling, and scheduled pickup services.
We do not act as your business agent, representative, or distributor.
Our services are limited strictly to physical storage and pickup activities as described in your service order or agreement.
- Who We Deal With
We deal directly with the Client (the business) that contracted for our services.
We do not communicate with or take instructions from your customers or any third parties unless expressly authorized by you in writing.
- Prohibited Items
You may not store or deliver any of the following items to our warehouse:
- Illegal goods or substances under any applicable law.
- Hazardous, flammable, explosive, radioactive, corrosive, or otherwise dangerous items.
- Any material requiring special permits, licenses, or hazardous-material handling.
If such items are delivered:
- We may reject or isolate the items at your cost.
- We may notify authorities if required by law.
- You are responsible for any resulting damages, cleanup costs, fines, or legal actions.
- Payment and Fees
- Payment must be made in full before pickup or release of any goods.
- We will not release goods unless full payment, including applicable fees and surcharges, has been received.
- All charges for storage, handling, and related services remain the responsibility of the Client.
- Late or unpaid accounts may result in suspension of services or withholding of goods.
- Weight Measurement and Accuracy
- All items are weighed upon arrival and prior to release. Our measurements are considered final and binding for billing and logistics purposes.
- Clients must provide accurate weight information when delivering goods.
- Discrepancies between declared and actual weights will be billed based on our measurements.
- Any dispute regarding weight must be made in writing within 48 hoursof measurement; otherwise, our records will be considered correct.
- Condition of Goods on Arrival
We are not responsible for:
- Items that are missing, broken, or damaged before arriving at our facility.
- Mismanagement or poor packaging prior to delivery to our warehouse.
We inspect incoming shipments for visible damage only and record observations in our arrival log.
- Pickup Times
- Pickup hours are Monday through Saturday, 4:00 PM – 7:00 PM.
- All pickups must be scheduled in advance.
- Walk-in or unscheduled pickups may be refused.
- Late Pickup and Surcharge Fees
- A late pickup surchargeapplies for goods not collected during the scheduled pickup window.
- The surcharge is $10 per 100 kg (or part thereof) per additional daybeyond the scheduled pickup time.
- The surcharge must be paid before the goods are released.
- Repeated late pickups may result in additional administrative fees or suspension of pickup privileges.
- Limitation of Liability
- Our liability for loss or damage to goods under our control is limited to the total service fee paid for that specific storage or handling transaction.
- We are not liablefor indirect, special, or consequential losses such as loss of profits or business interruption.
- We are not responsiblefor losses arising from force majeure events (fire, flood, power outage, strike, etc.).
- Insurance
Clients are responsible for insuring their goods during transport and storage.
We strongly recommend maintaining cargo and storage insurance coverage.
- Indemnification
You agree to indemnify and hold harmless Afriwarehouse, its officers, and staff against any claims, damages, or losses arising from:
- Violation of these Terms;
- Delivery of prohibited or misdeclared goods;
- Claims from your customers or third parties regarding your goods.
- Termination and Disposal
We may suspend or terminate services if:
- Payments are overdue.
- Prohibited items are discovered; or
- You breach these Terms.
If goods remain uncollected after reasonable notice, we may dispose of or sell the goods as permitted by law to recover outstanding costs.
- Governing Law
These Terms are governed by the laws of Ontario, Canada.
Any dispute shall be handled exclusively by the courts of Ottawa, Ontario.
